ExxonMobil Plans Texas Move to Keep Growth Strong
ExxonMobil, the biggest oil producer in America, is planning to shift its legal base from New Jersey to Texas. The decision comes after the company’s board agreed that a Texan address would better match its business climate.
Shareholders will decide at the annual meeting on May 27 whether to approve this change, which would be the first time Exxon has moved its legal home since it was founded in New Jersey in 1882.
The company already runs most of its operations from Spring, a suburb of Houston, and about 30 % of its employees work in Texas. The move will not change where the company does business or where workers are located.
Texas has been attracting major firms like Tesla, Space X and Coinbase, all of which have recently incorporated in the state. The Texas Legislature has created special courts for business disputes and passed laws to protect company boards from lawsuits.
Governor Greg Abbott praised Exxon’s decision, saying Texas is a place where global brands grow and jobs flourish. He highlighted the new business courts as part of Texas’s appeal to companies seeking a predictable legal environment.
The move follows frustration with New Jersey, which sued Exxon in 2022 over climate‑change claims. That lawsuit was dismissed last year after a costly legal battle. Delaware remains the most common state for corporate incorporation, but many companies are moving away from it.
Exxon’s board noted that Texas’s modernized business statutes and the new Business Court are key reasons for the relocation. The company believes this will help it maximize shareholder value by aligning its legal and operating homes in a state that supports its success.
